Terms of Service

These Terms of Service ("Terms") govern your access to and use of DistrictBinder, an AI-powered policy management platform for K-12 school districts. By accessing or using DistrictBinder, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use the service.

1. Eligibility and Account Access

1.1 Age Requirement

You must be at least 18 years old to use DistrictBinder. This service is intended exclusively for adult staff, teachers, administrators, and parents. It is not intended for use by students or minors.

1.2 Authorization

You must be authorized by your school district to access DistrictBinder. Access is granted at the sole discretion of your district administrator. We reserve the right to verify your authorization at any time.

1.3 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify your district administrator immediately of any unauthorized use of your account.

2. Acceptable Use Policy

2.1 Permitted Uses

You may use DistrictBinder to:

  • Search and reference district policy documents
  • Generate policy-aligned communications for professional use
  • Access AI-powered guidance on district policies and procedures
  • Collaborate with colleagues within your district

2.2 Prohibited Activities

You may NOT use DistrictBinder to:

  • Enter, store, or process personally identifiable information (PII) about students
  • Enter student names, grades, test scores, disciplinary records, or other student education records
  • Share your account credentials with unauthorized individuals
  • Attempt to access data belonging to other districts
  • Reverse engineer, decompile, or attempt to extract source code
  • Use automated systems to scrape or download content
  • Upload malicious code, viruses, or harmful content
  • Violate any applicable laws or regulations
  • Harass, abuse, or harm others
  • Impersonate another person or entity

CRITICAL: Student Privacy Protection

Entering student personally identifiable information into DistrictBinder is strictly prohibited and may result in immediate account termination and notification to your district administrator.

3. District Content and Data

3.1 District Ownership

Your school district retains all rights, title, and interest in the policy documents, handbooks, and other materials uploaded to DistrictBinder. We do not claim ownership of your district's content.

3.2 License to Process

By uploading content, your district grants us a limited license to process, store, and display that content solely for the purpose of providing the DistrictBinder service. This license terminates when your district's subscription ends.

3.3 User-Generated Content

Content you generate using DistrictBinder (queries, generated communications, etc.) belongs to you and your district. However, we may use aggregated, anonymized usage data to improve our services.

4. AI-Generated Content

4.1 Nature of AI Content

DistrictBinder uses artificial intelligence to provide search results and generate content. AI-generated responses are suggestions only and should be reviewed for accuracy before use.

4.2 No Warranty

We do not warrant that AI-generated content is accurate, complete, or appropriate for your specific situation. You are solely responsible for reviewing and verifying all AI-generated content before use.

4.3 Professional Judgment

DistrictBinder is a tool to assist with policy reference and communication. It does not replace professional judgment, legal advice, or official district policies. Always consult official sources and appropriate professionals for critical decisions.

5. Service Availability and Changes

5.1 Availability

We strive to provide reliable service but do not guarantee uninterrupted access. The service may be temporarily unavailable due to maintenance, updates, or technical issues.

5.2 Modifications

We may modify, update, or discontinue features at any time without prior notice. We will attempt to provide reasonable notice of material changes.

5.3 District Discretion

Your district administrator may restrict or revoke your access at any time, with or without cause.

6. Termination

6.1 Termination by District

Your district administrator may terminate your account at any time.

6.2 Termination by Us

We may suspend or terminate your access immediately if you violate these Terms, particularly restrictions regarding student PII.

6.3 Effect of Termination

Upon termination, your right to access DistrictBinder ceases immediately. Provisions regarding confidentiality, limitations of liability, and dispute resolution survive termination.

7. Disclaimers and Limitations of Liability

7.1 "AS IS" Service

DISTRICTBINDER IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

7.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, DATA LOSS, OR BUSINESS INTERRUPTION, ARISING FROM YOUR USE OF DISTRICTBINDER.

7.3 User Responsibility

You are solely responsible for your use of DistrictBinder and any consequences resulting from that use, including but not limited to actions taken based on AI-generated content.

8. Indemnification

You agree to indemnify, defend, and hold harmless DistrictBinder and its affiliates from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from: (a) your violation of these Terms; (b) your violation of any law or regulation; (c) your violation of any third-party rights; or (d) your misuse of the service, including unauthorized entry of student PII.

9. Governing Law and Disputes

9.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

9.2 Dispute Resolution

Any disputes arising from these Terms or your use of DistrictBinder shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law.

10. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated to district administrators via email. Your continued use of DistrictBinder after changes constitutes acceptance of the updated Terms.

12. Severability and Entire Agreement

12.1 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.

12.2 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and DistrictBinder regarding your use of the service.

Acknowledgment

BY USING DISTRICTBINDER, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE. IF YOU DO NOT AGREE, YOU MUST DISCONTINUE USE OF THE SERVICE IMMEDIATELY.
